Terms and Conditions of Service

2. Account Governance and Security
Global Packaging Design Group facilitates the procurement of specialized packaging solutions and
associated professional services (the “Services”). Access to and engagement with this Website and its
Services are strictly governed by these Terms and Conditions (“Terms”). By utilizing this platform, you
formally acknowledge that you have reviewed and consented to be legally bound by these provisions.
The Company reserves the exclusive right to modify these Terms at its discretion; continued use
following such amendments constitutes formal acceptance of the revised protocol.
Access to proprietary features requires the establishment of formal Credentials. Users maintain absolute
responsibility for the safeguarding of these Credentials. Global Packaging Design Group disclaims all
liability for losses or unauthorized activities arising from a failure to maintain account confidentiality.
All information submitted to the Company is handled in strict accordance with the Global Packaging
Design Group Privacy Policy, which is incorporated herein as a fundamental component of these Terms.
Performance Estimates: All projected production and delivery windows are non-binding estimates
provided for planning purposes only.
Third-Party Intermediaries: Fulfillment is executed via independent logistical carriers. The Company
assumes no liability for consequential damages or operational disruptions resulting from delivery delays.
Risk Mitigation: Title and risk of loss pass to the Customer upon transfer to the carrier. While the
Company will provide administrative support in facilitating claims against third-party freight providers,
financial liability for transit damage rests solely with the carrier.
Market Volatility: Production costs are subject to immediate adjustment to reflect fluctuations in raw
materials, labor, or global economic conditions.
Customer Obligations: The Customer is exclusively responsible for all ancillary expenditures, including
but not limited to: shipping fees, customs clearance, duties, value-added taxes, and storage surcharges.
Rate Finalization: Invoiced shipping rates are subject to reconciliation to reflect actual market costs at the
time of execution.
Due to the bespoke nature of custom manufacturing, all sales are final.
Inspection Mandate: The Customer must report visible transit damage immediately upon receipt.
Dimensional or graphical discrepancies must be formally submitted within 7 days of delivery. Failure to
provide notice within this window constitutes an irrevocable acceptance of the goods.
Manufacturing Defects: Upon internal verification of a structural or manufacturing failure, the Company
will, at its discretion, issue a replacement or credit.
Tolerance Standards: The Company is not liable for inherent material behaviors (e.g., paperboard
cracking in creased areas) or minor variances within a 3% threshold regarding style, dimensions, or
chromatic density.
Usage Rights: By submitting "Customer Content," you grant Global Packaging Design Group a perpetual,
royalty-free, non-exclusive license to utilize said materials for fulfillment and corporate marketing
initiatives.
Legal Warranty: The Customer warrants full legal ownership of all submitted designs. The Customer shall
defend and indemnify Global Packaging Design Group against any third-party claims involving
intellectual property infringement.
Quantity Variance: In accordance with industry standards, the Company reserves the right to ship within
the over/under percentage specified in the operative contract.
Final Approval: The Customer assumes full liability for the accuracy of all layouts. Production will not
commence without a formal, written "Production Ready" approval from the Customer.
All fiscal transactions are denominated in USD.
Standard Terms: Net [15/30] days from the date of invoice.
Late Penalties: * 16–30 Days: A 3% penalty applied to the outstanding principal.
31–60 Days: A 5% penalty applied.
90+ Days: Automatic referral to a third-party collection agency. The Client shall be liable for all associated
legal fees and collection expenditures.
To the maximum extent permitted by applicable law, the total aggregate liability of Global Packaging
Design Group shall not exceed the greater of the specific order value or $250. The Company expressly
disclaims liability for loss of profit, business interruption, or any form of punitive or indirect damages.
These Terms are governed by the laws of the State of California. Any legal disputes shall be adjudicated
within the exclusive jurisdiction of the California courts. Prior to the initiation of litigation, parties are
contractually obligated to attempt a good-faith resolution over a 30-day mediation period.
